This paper aims to analyze the circulatory function of the contract for a person to be nomi- nated (or nominate contract), proposing a move beyond the structuralist view that considers the legitimacy of appointment inseparable from the status of a contractual party. By enhancing the principle of contractual autonomy (article 1322 Italian Civil Code) and the nature of the facultas eligendi (faculty of chose), as a potestative right with patrimonial content, autonomous assignment of the entire contractual position remains possible. This functional reconstruction responds to the speculative intent of practice, especially in real estate, allowing the business to be “traded”. The systematic point of equilibrium lies in article 1405 of the Italian Civil Code: the availability of the power of appointment finds its necessary counterbalance in the binding nature of the contract from the outset for the stipulator, who remains definitively obligated should the appointment be missing or invalid.
Il contributo analizza la funzione circolatoria del contratto per persona da nominare propo- nendo il superamento della visione strutturalista che considera la legittimazione alla nomina inscindibile dalla qualità di parte contrattuale. Valorizzando il principio di autonomia negoziale (art. 1322 c.c.) e la natura della facultas eligendi, quale diritto potestativo a contenuto patri- moniale, resta possibile la cedibilità autonoma rispetto all’intera posizione contrattuale. Tale ricostruzione funzionale risponde agli intenti speculativi della prassi, specialmente immobiliare, permettendo di “commerciare” l’affare. Il punto di equilibrio sistematico risiede nell’art. 1405 c.c.: la disponibilità del potere di nomina trova il suo necessario contrappeso nella vincolati- vità ab origine del contratto per lo stipulante, che rimane definitivamente obbligato qualora la nomina manchi o risulti invalida.
