Abstract

The judgment pursuant to art. 2409 of the civil code is wrongly considered a procedure aimed exclusively at protecting the public interest in judicial control over the correct management of the companies, and as such framed in the category of the so-called “voluntary jurisdiction”. It can also affect (sometimes heavily) the subjective rights of the parties involved in it (shareholders, directors, auditors), requiring the application of the fundamental principles and rules of due process.
